They approve major investments. They monitor financial performance. They challenge management.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But there is another question boards should be asking:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Can the organization govern the growth it is pursuing?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That question becomes especially important when a company expands across markets, adds organizational layers, enters partnerships, or increases its operating complexity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Growth can create value.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It can also expose previously hidden weaknesses.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The board&#8217;s responsibility is not to prevent growth. It is to help ensure that growth remains sustainable.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Growth Can Hide Organizational Weakness<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Financial results can make an organization appear healthier than it actually is.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Revenue is increasing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">New customers are being added.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">International markets are opening.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The stock price may be performing well.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Yet underneath those results, the organization may be accumulating problems:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Decision rights are becoming unclear.<\/li>\n\n\n\n<li class=\"\">Local exceptions are multiplying.<\/li>\n\n\n\n<li class=\"\">Reporting systems are becoming inconsistent.<\/li>\n\n\n\n<li class=\"\">Key processes depend on individual executives.<\/li>\n\n\n\n<li class=\"\">Compliance responsibilities are becoming fragmented.<\/li>\n\n\n\n<li class=\"\">Management is spending more time coordinating than executing.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">None of these problems necessarily appears immediately in the financial statements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By the time they become visible in financial performance, they may already be expensive to correct.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is where the board has an important role.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The Board Should Challenge the Capacity Behind the Strategy<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Boards routinely ask whether a strategy is attractive.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They should also ask whether the organization has the capacity to execute it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Suppose management proposes entering five new countries.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The obvious questions might include:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">What is the market opportunity?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">What will the investment be?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">What is the expected return?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">What are the competitive risks?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Those are necessary questions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But they are incomplete.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The board should also ask:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Can the organization operate effectively across five additional markets?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That question moves the conversation from opportunity to organizational readiness.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Five Questions Boards Should Ask About Growth<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">1. What has to be true for this growth to succeed?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Every growth strategy contains assumptions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Customer demand.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Talent availability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Supply-chain capacity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Technology.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Capital.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Regulatory conditions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Management bandwidth.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The board should understand which assumptions are most critical and how management is monitoring them.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">2. Where will decision authority reside?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Expansion creates more decisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If decision rights are unclear, those decisions eventually migrate upward.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The result can be a management bottleneck.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Boards should understand which decisions remain with headquarters, which are delegated regionally, and which belong to local leadership.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Autonomy without defined boundaries is not a scalable operating model.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">3. What is becoming more complex?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Growth rarely adds complexity in only one place.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A new country can affect finance, tax, legal requirements, human resources, technology, supply chains, contracts, customer support, and reporting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The board does not need to manage these details.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But it should know whether management is measuring the complexity being created.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">4. Where are exceptions accumulating?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Exceptions deserve particular attention.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">One exception may be reasonable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ten exceptions may indicate that the operating model no longer fits the business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The board should ask whether exceptions are isolated events\u2014or signals that the organization needs to redesign a process, policy, or decision right.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">5. Is governance capacity keeping pace with growth?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">This may be the most important question.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An organization can grow faster than its governance capacity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">When that happens, management increasingly relies on informal relationships, individual judgment, and workarounds.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The company may continue to grow.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But the cost of governing that growth increases.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Eventually, the organization reaches a point where complexity begins to constrain strategic flexibility.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The Board Should Not Become Management<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">There is an important boundary here.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The board should not design operating procedures or approve routine management decisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That is management&#8217;s responsibility.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The board&#8217;s role is different.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It should provide oversight, challenge assumptions, identify emerging risks, and ensure that management is building the capabilities necessary to execute the strategy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The distinction is important:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Management runs the system.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The board assesses whether the system can support the strategy.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That is particularly valuable when growth is rapid.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Sustainable Growth Requires More Than Financial Capacity<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Companies often define capacity in financial terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Can we afford the expansion?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Can we finance the acquisition?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Can we hire the people we need?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Those questions matter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But sustainable growth requires several forms of capacity:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Financial capacity<\/strong> \u2014 Can we fund the strategy?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Operational capacity<\/strong> \u2014 Can we deliver what we are promising?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Talent capacity<\/strong> \u2014 Do we have the leadership and skills required?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Governance capacity<\/strong> \u2014 Can we make decisions, manage risk, and maintain accountability as complexity increases?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company can have the financial resources to expand without having the organizational capacity to do so successfully.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That distinction deserves board-level attention.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The Board&#8217;s Most Valuable Contribution May Be a Question<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Boards are often most effective when they ask questions management has not considered\u2014or has become too close to the business to ask.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">One of those questions is:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>&#8220;What will become harder to govern if we achieve this growth?&#8221;<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is a deceptively simple question.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It forces management to look beyond the upside of the strategy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It encourages consideration of organizational consequences before they become operational problems.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">And it changes the conversation from:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>How fast can we grow?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">to:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>How much growth can we govern effectively?<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Sustainable Growth Is Governed Growth<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The objective is not to slow the organization down.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is to make sure that growth does not outrun the systems that support it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The strongest boards do not simply approve growth.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They challenge whether the organization is prepared to sustain it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They ask about decision rights.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They ask about complexity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They ask about management capacity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They ask where exceptions are accumulating.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">And they ask whether governance is evolving at the same pace as the strategy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Because growth creates value only when the organization can absorb it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The board&#8217;s role is not to put a ceiling on growth.<\/strong><\/p>\n\n\n\n<p
