It carries a cost. It can constrain future decisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But organizations can accumulate another form of liability that rarely appears in financial statements:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Governance debt.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Governance debt develops when an organization grows faster than the systems, decision rights, accountability, and controls needed to manage that growth.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Like financial debt, it may not create an immediate crisis.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In fact, borrowing can help a company grow.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Likewise, postponing governance decisions can help an organization move quickly in partner is given responsibility because the company lacks local capability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A senior executive personally resolves an issue that should eventually have a next market.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Revenue is growing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Customers are being acquired.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Problems are solved through individual intervention.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But every workaround creates a precedent.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Every exception can become tomorrow&#8217;s expectation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Every informal decision can become tomorrow&#8217;s organizational dependency.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Eventually, the cost of correcting the accumulated inconsistencies becomes greater than the cost of establishing the structure in the first place.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The Interest on Governance Debt<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Financial debt has interest.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Governance debt has its own form of interest.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is paid through:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Executive time<\/li>\n\n\n\n<li class=\"\">Decision delays<\/li>\n\n\n\n<li class=\"\">Duplicated processes<\/li>\n\n\n\n<li class=\"\">Coordination costs<\/li>\n\n\n\n<li class=\"\">Inconsistent execution<\/li>\n\n\n\n<li class=\"\">Increased risk<\/li>\n\n\n\n<li class=\"\">Lost visibility<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The organization pays these costs repeatedly.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">And unlike financial interest, they may be difficult to measure precisely.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That doesn&#8217;t make them less real.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How Leaders Can Reduce Governance Debt<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The objective is not to create governance for every conceivable situation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That would produce bureaucracy rather than capability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Instead, leadership should identify where growth is creating recurring friction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ask:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Which decisions repeatedly require executive intervention?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Which exceptions have effectively become permanent?<\/strong><\/p>\n\n\n\n<p questions help identify where governance debt is accumulating.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">A Board-Level Responsibility<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Boards often see governance through the lens of compliance, risk, and oversight.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Those responsibilities remain important.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But governance also has a growth dimension.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A board approving international expansion should understand whether the organization has the governance capacity to organizational liabilities it may create.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The Bottom Line<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Governance debt is not necessarily evidence of poor leadership.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is often the natural consequence of successful growth occurring faster than organizational design.<\/p>\n\n\n\n<p
